Terms of Service

These Terms of Service should be read together with our Privacy Policy.

1. Acceptance of terms

By creating an account or using Cited (the "Service"), a product of Upfolio Labs Private Limited ("Company," "we," "us," "our," "it," "its"), you agree to these Terms of Service. If you're using the Service on behalf of a company, you're agreeing on that company's behalf and confirming you have the authority to do so. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

2. Description of the service

Cited audits how AI systems (currently ChatGPT, Claude and Perplexity) respond to buying-intent questions in a given software category, reports on companies' visibility in those responses, identifies gaps in evidence relative to competitors, and can generate content addressing those gaps. The Service reflects AI systems' outputs at the time of each audit, it is not a guarantee of future AI behavior, search rankings, sales outcomes, or business results. AI model behavior can and does change over time in ways outside our control.

3. Accounts

You're responsible for maintaining the security of your account and for all activity under it. Notify us immediately of any unauthorized use. Accounts are created via a one-time magic link sent to your email; you're responsible for keeping that email address secure and accessible.

4. Subscriptions, billing, and cancellation

Free accounts get two audit runs at reduced scope, no charge. Paid plans (Starter, Pro) are billed monthly or annually as selected at signup. You can cancel or downgrade at any time. You retain full access to your current plan's features through the end of the billing period you've already paid for. All payments are non-refundable. We do not provide refunds for any reason, including unused time in a billing period, dissatisfaction with the Service, a downgrade, or account termination for a Terms violation, except where a refund is required by applicable law. Add-on packs (extra projects, audits, assets, or Competitive Snapshot capacity) are billed monthly and can be canceled independently of your base plan.

If a payment fails, we do not downgrade your account immediately. You'll have a 3-day grace period to resolve the payment issue before your plan reverts to free-tier limits.

Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless canceled before the renewal date. You can cancel at any time via your account settings to prevent the next renewal charge.

If you are a consumer located in the EU/UK, you acknowledge that by accessing the Service immediately upon signup, you expressly request that performance begin immediately and, to the extent permitted by law, waive your statutory 14-day withdrawal right for this digital service.

Referral program

We may offer a referral program that rewards you for inviting others to the Service. Current mechanics: an invited user who signs up through your link receives bonus audit runs; free-tier referrers earn bonus audit runs when an invited user completes their first audit (subject to monthly caps); paid-tier referrers earn one free subscription month when an invited user's paid subscription completes its first renewal (subject to an annual cap). Free months are applied to an active paid subscription only. If you earn a free month while on the free tier, it is banked and applied automatically when you subscribe to a paid plan. Referral rewards have no cash value, are non-transferable, and cannot be exchanged or refunded. Self-referrals, fake accounts, or any attempt to game the program will void rewards and may lead to account termination. We reserve the right to modify, suspend, or terminate the referral program, its rewards, or its eligibility rules at any time without prior notice. Rewards already applied to a billing period are not revoked.

5. Acceptable use

You agree not to: use the Service to violate any law, or to engage in fraud, misrepresentation, or other malpractice; attempt to circumvent rate limits, usage caps, or the Competitive Snapshot abuse guardrails described in our product; scrape, reverse-engineer, or resell access to the Service without our written permission; use Competitive Snapshot to harass, spam, or target individuals rather than researching companies in good faith, or use the tracked competitor list to monitor individuals rather than companies; or share your account credentials to circumvent seat-based pricing. We reserve the right to suspend or terminate accounts that violate this section.

6. Content and intellectual property

Your input, your ownership: the company information, domains, and prompts you submit remain yours. Generated content: subject to the disclaimer below, you own the migration guides, comparison pages, trust pages, and other content Cited generates for your account, and may use, edit, and publish it freely. What we retain: the underlying Cited platform, our proprietary signal taxonomy, prompt architecture, category-benchmark methodology, and the aggregated, anonymized data assets described in our Privacy Policy remain our property.

On AI-generated content: the legal status of AI-generated content's copyrightability varies by jurisdiction and is actively evolving. This section states our intended commercial arrangement, you can use what's generated for your account, independent of how that underlying question resolves in any given jurisdiction.

7. Disclaimers

The Service, including all audit results, diagnoses, and generated content, is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that AI-generated observations, gap analyses, or content are accurate, complete, or free of errors, they reflect AI model outputs at a point in time and should be reviewed before you rely on or publish them. We do not warrant that using the Service will improve your search visibility, AI recommendation frequency, or any business outcome.

8. Limitation of liability

To the maximum extent permitted by law, Cited's total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue or lost business opportunities, even if advised of the possibility. We are also not liable for: service interruptions or downtime; issues caused by third-party services we rely on to operate the Service (including payment processing, AI inference providers, email delivery, and cloud hosting); loss of data beyond our reasonable control; or events beyond our reasonable control (force majeure), including natural disasters, internet or infrastructure outages, or third-party service failures.

9. Indemnification

You agree to indemnify, defend, and hold Cited and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of content generated through the Service (for example, if you publish generated content containing information you knew or should have known was false), or your violation of any law or third-party right.

10. Termination

We may suspend or terminate your account for violating these Terms, with notice where practicable. We may also immediately suspend or terminate your account, without refund and without prior notice, if we reasonably believe you have engaged in fraud, abuse, or other malpractice in connection with the Service, or if we are required to do so to comply with an applicable law or a legal or regulatory obligation (including data protection laws such as GDPR). You may terminate your account at any time via account settings (see our Privacy Policy for what happens to your data on deletion). Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability) continue to apply after account closure.

11. Governing law and disputes

These Terms are governed by the laws of India. By using the Service, you agree that any dispute arising from these Terms or your use of the Service is subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India, where Upfolio Labs Private Limited is based.

12. Cookies

We use cookies and similar technologies to operate the Service, and may also use them to personalize your experience, for product analytics, for advertising, and to improve your overall experience with the Service. For details on what we collect and your choices, see our Privacy Policy.

13. Changes to these terms

We may update these Terms at any time. We'll post changes here with an updated effective date and notify active accounts of material changes by email.
